Merging and acquisitions



first of all i am going to explain what is to merge and what is and acquisition.

For merging we can undestand a combination or absorbtion (two companies get into one).

For acquisition we can say is gaining posession that can be partial or total.


A very interesting company i chose is called Ranbaxy, which is an indian pharmaceuthical company and one of the most important and large pharmaceuthical indian firms world wide. i chose this company because with this i can explain with an example what merging and acquisition is.

What i see more interesting is that this company uses a very know method to get into a new market, and also to help other companies get into the indian market, this method is called join venture. This is an agreement in which two or more companies say they are going to cooperate and work together usualy for a defined time.

A company called Eli Lilly saw the rapid growth of Ranbaxy company and saw the oportunity to make a joint venture agreement with this company so they would be able to enter the indian market and sell some of their selected products.


Ranbaxy had a rapid growth because of their well managerial skills and the opportunities that was in the market at that time. In 1995 Ranbaxy acquired the Ohm Laboratories in us so they would be more competitive by producing in that country and not having to ship all products. In 1998 this company starts making producs for US under its own name.

One of the problems US paople see for this market is that the government has not increased the number of visas so it gives indian companies some advantage because they have the people, and this is why the acquisition or merging has become so popular nowadays for many companies world wide

The corporation



This task is about a documentary we saw in class called "The corporation". Now i am going to talk about how companies work, what happens with labour abuses (ethical or non ethical conditions) and what are their responsibilities.







First of all we need to know how a company works, shareholders put a capital so the company can start and in some times a different person manage the company and the shareholders just recieve their part for putting their money in. knowing this i can proceed to talk about how people get hidden behind a company name to do ilegal things or abuse of people need just with the purpose of making money no matters what.

What should a company do for not acting unethical? pay a salary according to law, pay security or provide security for the workers, keep good sanitary conditions and have infrastructure according to law (for ex. what happened in chile becouse of bad labour conditions)

A question i am going to answer according to my opinion is if companies should have the same legal rights as individuals.


I think companies cant have the same legal rights as individuals because they are very different in many ways, but they should have to make more paper work saying everything about how they take their activities done, how they treat people and what conditions are them working in. Because nowaydays i think companies have a lot of ways of doing what they want because no one can see inside company but workers.
Government should take several actions about companies that are acting against human rights so they wont be doing this again because if not, this giants will keep growing and still more companies will start doing this because its easier and they will gain even more money.
I recommend education as a solution for many society problems, because well educated people wont let companies put them into infrahuman works and also, the most important thing for me, well educated people wont be so ambitious that will put in risk human lives and this chain of pain for a lot of families that have nothing to eat will stop.
One way of stopping this actions could be by not limiting the payment for unethical conditions just to the company, but the shareholders, becouse they were also part of that and did nothing to stop it.

IOM

The IOM is the main intergovernmental organization in the field of migrations.

One of the most important things of this organization is that it recognices how important are migrants for economy and culture, and also respects the freedom of movement people have.

With freedom of movement we can understand the reasons of migrations and one of the most common is the willing for a better life, which includes a better paid job and opportunities.

Our main topic for this task is going to be female ilegal migrants and how are them different to male ones.

Most of the female ilegal migrants are woman that have no oportunities in their country because of the high unemployement and some times because they are not taked into account for good jobs.


But the reallity is that female ilegal migrants are still seen as the weak sex, so they are saw like the people who makes jobs no one wants to do and still worse, jobs that not even male ilegal migrants want to do. Because of this female workers have no more options that take those jobs that are not well paid (some times under the minimum) and can be working in not very good conditions. The bad working conditions and the need for money can lead this female workers to start in prostitution.

IOM helps female migrants by protecting their right and health so they can have a decent life in the host country. Some actions they do to improve the quality of living of migrants are the creating of programs for training women in some basic skills so they can have the opportunity to get a decent job and avoid prostitution or other ilegal jobs.

The main task IOM do at this moment is the improvement of conditions for ilegal migrants

Ubuntu Philosophy and cross-cultural managers

In this task i am going to explain how different cultural phylosophies can be applied for a well management of a company.


Ubuntu is a classic humanist phylosophy of africa that helps the understanding of the world and the relation with the human being. One of the bases of this phylosophy says: "a person is a person throught other people" which is very important at the moment of living or working in community


Some other things ubuntu phylosophy says are that humanity is all bound, that we are humans becouse we belong, it talks about wholeness and compassion. It talks about values of people with Ubuntu, it says they are wellcoming, hospitable, warm, generous and willing to share. And one important thing is that if you have Ubuntu you have to be open and available to others.


Taking Ubuntu as company philosophy can be very beneficial because it can create closer relationships between all workers, helping the well going of the company and creating an harmonious environment.

The understanding of Ubuntu helps team mates to be open and listen different ideas and opinions which is very important at the decision making time so all options can be evaluated and taked into account. This is also important because all team mates will know that each of them are relevant and if they are not working as a team, nor goals or objectives can be achieved.

Being a cross-cultural management it is important to understand every aspect of this phylisophy because it can be really helpful at the moment of creating relations with different employees (taking into account their thinks and opinions for the improvement of company's environment) or at the moment of the negociacion for and open listening and a better negotiation result (trying to find win-win situations).

The fact of being open will let you cross all cultural barriers and can finish in an improvement of relations, activities and results in different company aspects.
